shall be governed by the laws of the People's Republic of China, excluding the

application of conflict of laws principles.

The place of signing this Contract is Chaoyang District of Beijing, and in case of any

dispute over the content or execution of this Contract, the parties shall attempt to

resolve it amicably through friendly negotiation. If negotiation fails, either party may

file a lawsuit with the People's Court with jurisdiction at the place of execution of this

Contract.
